Job Description
Job Summary
- The Compliance Officer will be responsible for ensuring that the organization operates in full compliance with applicable laws, regulations, and internal policies, particularly those governed by the Securities and Exchange Commission (SEC) Nigeria. The role requires strong knowledge of regulatory requirements within the capital market and experience in managing statutory filings, regulatory reporting, and compliance monitoring. The Compliance Officer will also support the organization in maintaining ethical standards, mitigating regulatory risks, and ensuring timely communication with regulatory authorities.
Key Responsibilities
Regulatory Compliance and Monitoring
- Ensure the company complies with all regulatory requirements, guidelines, and policies issued by SEC Nigeria and other relevant regulatory bodies.
- Monitor regulatory updates, circulars, and policy changes and advise management on their impact on the company’s operations.
- Develop and implement internal compliance policies, procedures, and control mechanisms to ensure adherence to regulatory standards.
- Conduct periodic compliance reviews and internal audits to identify potential regulatory risks and recommend corrective actions.
SEC Filings and Regulatory Reporting
- Prepare, review, and submit statutory filings with SEC Nigeria in line with regulatory timelines and requirements.
- Manage periodic returns including monthly, quarterly, and annual regulatory filingsrequired by SEC Nigeria.
- Handle registration, renewal, and updates for funds, investment schemes, and financial productswith the regulatory authorities.
- Prepare and submit compliance certificates and regulatory reportsin accordance with SEC rules and regulations.
- Coordinate the reporting of significant shareholding changes, corporate actions, and other mandated disclosuresas required by SEC Nigeria.
- Maintain proper documentation, records, and archives for all regulatory filings and official correspondence with SEC Nigeria.
- Liaise with SEC officials and ensure prompt responses to regulatory inquiries, inspections, and compliance audits.
Policy Implementation and Risk Management
- Support the development and enforcement of internal compliance frameworks and risk management policies.
- Identify compliance gaps within the organization and recommend appropriate remedial actions.
- Ensure staff adhere to internal policies, ethical standards, and regulatory requirements.
Training and Awareness
- Provide compliance guidance and training to staff to ensure awareness of regulatory obligations and best practices.
- Promote a strong compliance culture across the organization.
Qualifications and Requirements
- Bachelor’s degree in Law, Finance, Accounting, Economics, or a related field.
- Minimum of 3–5 years of compliance experiencewithin a financial services, asset management, or capital market firm.
- Strong working knowledge of SEC Nigeria regulations, capital market compliance requirements, and regulatory filings.
- Professional certifications such as CIS (Chartered Institute of Stockbrokers), ACAMS, or relevant compliance certificationwill be an added advantage.
- Excellent analytical, documentation, and regulatory interpretation skills.
- Strong communication and stakeholder management abilities.
